These Terms and Conditions ("Terms") govern your access to and use of the website at sunstonesystems.co and our text messaging program (together, the "Services"), operated by Sunstone Systems ("Sunstone Systems," "we," "us," or "our").

By accessing our website or participating in our text messaging program, you agree to these Terms. If you do not agree, do not use the Services.

1. Relationship to client agreements

These Terms govern general use of our website and text messaging program only. Professional services delivered by Sunstone Systems are governed by a separate written agreement — a master services agreement, statement of work, project assignment, or similar contract. If there is any conflict between these Terms and a signed agreement between you and Sunstone Systems, the signed agreement controls with respect to the subject matter it covers.

Nothing on our website constitutes an offer, a proposal, or a commitment to provide services.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services. The Services are intended for business use.

3. SMS/Text Messaging Terms

Program description

Sunstone Systems operates a two-way text messaging program for clients and business contacts. Messages relate to your active engagement with Sunstone Systems and may include scheduling, project coordination, status updates, and replies to your questions. This program is not used for marketing or promotional messages.

How to opt in

You may opt in by providing your mobile number and giving verbal consent to a Sunstone Systems representative during a call or in-person conversation. You may also opt in by replying START to a message from us. Consent is not a condition of purchasing any goods or services.

Message frequency

Message frequency varies and depends on the nature of your engagement and your own communication with us.

Cost

Message and data rates may apply. Sunstone Systems does not charge for messages sent through this program; charges may apply from your mobile carrier depending on your plan. Contact your carrier for details about your plan.

How to opt out

Reply STOP to any message to stop receiving text messages from Sunstone Systems. You will receive a single confirmation message, after which no further messages will be sent unless you opt back in by replying START.

Carriers and delivery

Message delivery is subject to effective transmission by your mobile carrier and is not guaranteed. Carriers are not liable for delayed or undelivered messages. Sunstone Systems is not responsible for delays, failures, or errors in message delivery caused by your carrier, your device, or network conditions.

Changes to your number

If you change or deactivate your mobile number, you agree to notify us promptly so that we do not send messages to a person who has not consented to receive them.

Privacy

Information collected through the text messaging program is handled as described in our Privacy Policy.

4. Acceptable use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable law or regulation

  • Attempt to gain unauthorized access to our systems, accounts, or networks

  • Interfere with or disrupt the Services or the servers or networks that host them

  • Introduce malware, viruses, or other harmful code

  • Scrape, harvest, or collect information from the Services by automated means without our written permission

  • Use the Services to transmit unsolicited commercial messages, harassing content, or content that infringes another party's rights

  • Misrepresent your identity or your affiliation with any person or organization

  • Reverse engineer, decompile, or attempt to derive the source code of any software made available through the Services

We may suspend or terminate access to the Services for any violation of these Terms.

5. Intellectual property

The website and its contents — including text, graphics, logos, documentation, methodologies, frameworks, and software — are owned by Sunstone Systems or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You may view and print content from our website for your own internal, non-commercial reference. You may not otherwise reproduce, distribute, modify, publicly display, or create derivative works from our content without our prior written permission.

"Sunstone Systems" and our logo are trademarks of Sunstone Systems. You may not use them without our written permission.

Ownership of deliverables produced under a client engagement is governed by the applicable signed agreement, not by these Terms.

6. Third-party services and links

The Services may link to or integrate with third-party websites, platforms, and services that we do not control. We provide these for convenience and do not endorse them or assume responsibility for their content, terms, availability, or practices. Your use of a third-party service is governed by that party's terms.

7. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. To the fullest extent permitted by law, Sunstone Systems disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Services will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected.

Content on our website is provided for general informational purposes and does not constitute professional, legal, financial, or technical advice. Do not act on it without engaging appropriate professional counsel.

8. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SUNSTONE SYSTEMS AND ITS OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED ONE HUNDRED DOLLARS ($100.00).

This section does not limit liability that cannot be limited under applicable law. Liability arising under a signed client agreement is governed by that agreement.

9. Indemnification

You agree to indemnify, defend, and hold harmless Sunstone Systems and its officers, employees, contractors, and agents from any claims, liabilities, damages, losses, and expenses — including reasonable attorneys' fees — arising out of or related to your use of the Services, your violation of these Terms, or your violation of any law or the rights of a third party.

10. Governing law and venue

These Terms are governed by the laws of the State of Wisconsin, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in La Crosse County, Wisconsin, and you consent to the personal jurisdiction of those courts.

11. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Material changes will be accompanied by additional notice where required. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.

12. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including violation of these Terms. Sections 5, 7, 8, 9, and 10 survive termination.

13. General

Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.

No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.

Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.

Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Sunstone Systems regarding the Services, except where a signed client agreement applies.
